## The Four Diagnostic Questions: Have You Waited Too Long?

Every exit tax planning tool has a shelf life. When an owner calls an advisor after signing a letter of intent (LOI), many of the highest-value tax shelters have already evaporated.

Use this 4-step diagnostic checklist to determine where your business stands on the exit curve:

### Question 1: What is your estimated timeline to an exit or liquidity event?
- **Option A:** More than 24 months out (Window 1: Optimal for pre-sale accumulation and management retention)
- **Option B:** 12 to 24 months out (Window 2: Prime window for pre-sale entity and capital gains architecture)
- **Option C:** 6 to 12 months out (Urgent: Letters of Intent approaching; immediate blueprint required)
- **Option D:** Less than 6 months or already in negotiations (Critical: Emergency mitigation; definitive agreements must not be signed until exposure is analyzed)

### Question 2: What is the estimated total enterprise value of your business and underlying assets?
- **Under $2,000,000:** Standard planning and retirement plan optimization may suffice.
- **$3,000,000 – $10,000,000:** Prime candidate for pre-sale capital gains mitigation; typical tax savings exceed $500,000 to $2,000,000.
- **$10,000,000 – $25,000,000:** High priority; multi-entity structuring and independent tax opinions are vital.
- **$25,000,000 to $50,000,000+:** Institutional-grade planning; family legacy trusts, dynamic recapitalizations, and generational wealth shields.

### Question 3: Where does the majority of your business's value sit?
- **Enterprise Goodwill & Customer Base:** High ordinary/capital tax exposure without 1031 applicability.
- **Heavily Depreciated Machinery, Equipment, or Tech:** High exposure to Section 1245 depreciation recapture taxed at ordinary federal income rates (up to 37%).
- **Commercial Real Estate (Land & Buildings):** Potential Section 1250 recapture and capital gains; evaluate whether to bundle with operations or retain under a triple-net (NNN) lease.
- **Intellectual Property & Proprietary Systems:** Crucial to establish tax-advantaged royalty or separate licensing architecture.

### Question 4: Has your advisory team (CPA, Attorney, Wealth Advisor) presented a coordinated tax reduction plan?
- **Yes, a unified written strategy:** Verify that it addresses both federal/state capital gains and depreciation recapture without relying on 1031 real estate purchases.
- **No, everyone works in silos:** The most frequent danger. CPAs prepare historic compliance; transaction attorneys draft legal purchase contracts; wealth managers wait for cash to arrive. **Nobody is acting as the Tax Architect.**
- **We haven't discussed taxes yet:** Immediate red flag. Taxes represent the single largest transaction expense.

## The 3 Timeline Windows & Strategic Options

```
Timeline Progression:
[ Window 1: Before Exit ] ➔ [ Window 2: Exit Prep ] ➔ [ Window 3: Post-Exit ]
(6-24+ Months Out)          (0-6 Months / Pre-LOI)     (Post-Closing)
```

### Window 1: Before the Exit (6 to 24+ Months)
- Implement cash accumulation structures (Defined Benefit / Cash Balance Plans).
- Secure key employees with tax-deferred retention vesting.
- Remove tax drag on outside private investments.

### Window 2: During Exit Prep (Pre-Closing & Pre-LOI)
- Deploy signature Pre-Sale Capital Gains Architecture (Non-1031).
- Insulate against equipment and real estate depreciation recapture.
- Formalize family succession or management buyouts.
- Commission independent formal legal tax opinions.

### Window 3: After the Exit (Post-Closing Recovery)
- Deploy tax clawback and carryback recovery strategies for closed sales.
- Structure Qualified Opportunity Funds (QOF) and statutory reinvestments.
